General Terms & Conditions

These General Terms & Conditions ("GTC") set out the legal framework for the use of the Nios Software Service ("Service"). They should be read in conjunction with the Product Terms (which describe the Service, pricing, acceptable use, subprocessors, and support) and the Data Processing Addendum (Annex A), which together form the Agreement between nios earth Oy ("Nios", "we", "us") and the Customer ("Customer", "you").

These General Terms & Conditions apply to all use of the Service. By signing up, purchasing a plan, or otherwise using the Service, the Customer accepts and agrees to these General Terms & Conditions.

If a Customer enters into an Expert Service Agreement, that Expert Service Agreement applies in addition to these Terms. In case of conflict, the Expert Service Agreement prevails.

1. Definitions

  • Service: the Nios Software Service, including the Software, Platform, and features made available to the Customer.
  • Software: the Nios software platform, accessible via https://app.nios.earth/ (the "Platform").
  • Customer Inputs: any data or information provided by the Customer through the Service. Customer Inputs are processed in accordance with the Data Processing Addendum.
  • Customer Outputs: any results or outputs generated for the Customer by the Service.
  • Personal Data: any information relating to an identified or identifiable natural person, processed by Nios in connection with account management or service delivery. Personal Data is processed in accordance with Nios' Privacy Policy.
  • Product Terms: the document describing plans, pricing, acceptable use, subprocessors, and support.
  • Data Processing Addendum: Annex 1 to these General Terms & Conditions, setting out data handling, security, and retention practices for Customer Inputs.
  • Expert Service Agreement: a separate agreement that may apply if the Customer purchases Expert Services from Nios in addition to the Service.

2. Service & Access

The Service is a software-as-a-service (SaaS) platform for analyzing value chain risks and environmental impacts.

The Service is directed to business users (legal entities, partnerships, and freelancers acting in a professional capacity). Consumer use is excluded. Consultants and third-party service providers may use the Service if they register under their own account.

The Service is provided "as is". It is advisory in nature, and all actions, decisions, and judgments taken by the Customer in connection with the Service are the sole responsibility of the Customer. Nios does not guarantee uninterrupted availability or accuracy of outputs.

3. Plans & Pricing

Fees, plan features, and usage limits are set out in the Product Terms (as updated from time to time). Subscriptions auto-renew for successive terms unless cancelled before the end of the then-current term.

Any price increase or materially adverse change applies only at the next renewal and will be notified at least 30 days in advance. Taxes are additional. Invoices are due within 30 days. Nios may suspend access for non-payment after notice.

4. Terms of Use

Nios grants the Customer, for the duration of the Agreement, a non-exclusive, non-transferable, and non-sub-licensable license (unless otherwise agreed in writing) to use the Service.

The Service includes datasets licensed from FootprintLab Pty Ltd (GLORIA) and other third-party providers. The Customer acknowledges and agrees:

  • Use of the Service and outputs is at their own risk.
  • They remain responsible for the accuracy of data provided as inputs.
  • They may not copy, modify, disassemble, decompile, or reverse engineer the Service.
  • They may use outputs only for their own business purposes.
  • They may not supply, redistribute, alter, or amend any FootprintLab Pty Ltd data without express written authorisation from Nios or FootprintLab Pty Ltd.
  • Nios may cease to provide access to certain datasets if a third-party provider withdraws availability, and the Service may change accordingly.

5. Customer Responsibilities

Customers are responsible for:

  • Providing accurate input data.
  • Ensuring account access remains secure.
  • Using the Service only in compliance with law and these Terms.

6. Confidentiality & Data Handling

Customer Inputs will be treated as confidential and handled in accordance with the Data Processing Addendum (Annex 1).

"Confidential Information" includes any non-public information shared by either Party in connection with the Service, subject to standard exclusions (public information, lawful third-party sources, prior knowledge, independent development, legal requirements).

Nios may observe how Customers use the Service to improve and further develop its products.

7. Intellectual Property

As between the parties, Customers own the intellectual property rights in their own Customer Inputs. Customers grant Nios a non-exclusive, royalty-free, worldwide license to use Customer Inputs during the term of the Agreement to provide the Service, generate outputs, and create aggregated data. Nios will not use or retain Customer Inputs for other purposes.

Nios retains all rights, title, and interest in and to the Service, Software, and datasets provided.

Subject to compliance with these Terms, Customers receive a perpetual, worldwide license to use Customer Outputs from the date they are communicated.

8. Acceptable Use

Acceptable use of product is outlined in the Product Terms. Nios may suspend access to address violations or security risks and will notify when practicable.

9. Marketing & References

Nios may use the existence of the Customer relationship as a reference in marketing, including Customer's name and logo on its website, social media, and promotional materials, unless otherwise agreed in writing. Customer-specific confidential details will not be disclosed without consent.

10. Liability

The Service relies upon third-party providers and datasets, including FootprintLab Pty Ltd (GLORIA). These are provided without warranties. Accordingly, Nios does not represent or warrant that outputs or data will be error-free, uninterrupted, or permanently available.

Although Nios will use reasonable efforts to prevent loss of Customer Inputs and aggregated data, Nios cannot guarantee that such loss will not occur.

To the maximum extent permitted by law:

  • Nios shall not be liable for any indirect, incidental, or consequential damages.
  • Nios' aggregate liability for all direct damages is capped at the fees paid by the Customer in the 12 months preceding the event giving rise to liability.

11. Changes to Terms

Material changes (including price increases or materially adverse product changes) will be notified by email or in-app at least 30 days before they take effect. They apply from the next renewal term. If you object, you may turn off auto-renewal; your current term continues under the existing terms.

12. Governing Law & Disputes

These GTC are governed by Finnish law. Any disputes shall be resolved in the courts of Helsinki, Finland.
